Fully Diluted Basis

The total number of shares of common stock outstanding. To calculate the common stock on a fully diluted basis, assume that in addition to all of a company's currently issued and outstanding common stock, all convertible securities are converted into common stock, thereby creating the maximum number of issued and outstanding shares of common stock. All stock options that are currently exercisable by the holder (i.e., stock options that have vested) and whose current value exceeds the exercise price are treated as if the option has been exercised and the common stock issued. Similarly, convertible debt is treated as if the debt has been converted to common stock and the common stock issued.
