A document providing protection for parties that exchange confidential business information in the process of a transaction or other discussions with potential partners, vendors, investors and customers. While terms may vary with different NDA forms, the intent is to allow for sharing of business information that will demonstrate the value of a target or the qualifications of a buyer without fear of the information being used to harm the other party.
